3.2 Pricing and Currency

All prices are displayed in USD unless otherwise specified. For international transactions, exchange rates and any associated fees charged by your financial institution are your sole responsibility.

3.4 Automatic Payment Collection

By selecting the deposit option for Masterclass or Luxury Learning experiences, you authorize LightCell Studios to automatically charge the remaining balance to your original payment method on the specified dates. It is your responsibility to ensure sufficient funds are available and that your payment information remains current.

4.1 Online Academy

All sales are final. No refunds, exchanges, or credits will be issued for Online Academy courses once purchased. Course access is granted immediately upon purchase, and digital content cannot be returned.

4.2 Masterclass Experience

Client Cancellations:

• Deposits are non-refundable under all circumstances
• Cancellations made more than 5 days before the event: Deposit is forfeited; any additional payments beyond the deposit will be refunded
• Cancellations made 5 days or less before the event: No refunds of any payments
• No-shows forfeit all payments made

4.3 Luxury Learning Experience

Client Cancellations:

• Deposits are non-refundable under all circumstances
• Cancellations made more than 14 days before the event: Deposit is forfeited; any additional payments beyond the deposit will be refunded
• Cancellations made 14 days or less before the event: No refunds of any payments
• No-shows forfeit all payments made

4.4 Company Cancellations

In the event that LightCell Studios must cancel a Masterclass or Luxury Learning Experience due to emergency circumstances, acts of God, insufficient enrollment, or any other reason at our sole discretion, participants will receive a 100% refund of all payments made. Refunds will be processed within 14 business days of the cancellation announcement.

4.5 Minimum Enrollment

• Masterclass experiences require a minimum of 15 participants
• Luxury Learning experiences require a minimum of 10 participants

If minimum enrollment is not met, LightCell Studios reserves the right to cancel the event with full refunds issued to all registered participants.

5.1 Travel Documents

For all in-person events, particularly Luxury Learning experiences, participants are solely responsible for:

• Obtaining valid passports
• Securing all necessary visas and travel authorizations
• Ensuring compliance with destination country entry requirements
• Maintaining appropriate travel insurance
• Meeting all vaccination and health requirements

LightCell Studios is not responsible for any costs, losses, or consequences resulting from inadequate travel documentation or failure to meet entry requirements.

5.2 International Airfare

Participants are responsible for arranging and purchasing their own airfare to and from event locations. LightCell Studios is not liable for any flight cancellations, delays, or changes.

5.3 Included Services (Luxury Learning Experience Only)

The Luxury Learning Experience includes:

• Accommodations for the duration of the program
• Local transportation as part of the organized program
• Scheduled meals as outlined in the program itinerary
• Organized cultural activities and excursions
• All educational materials and instruction

5.4 Age Requirements

All participants must be 18 years of age or older to register for any LightCell Studios programs. Participants under 18 may only attend with written parental consent and must be accompanied by a parent or legal guardian for in-person events.

6.1 Voluntary Participation

You acknowledge that participation in LightCell Studios programs, particularly the Masterclass and Luxury Learning experiences, is entirely voluntary and that you are aware of the potential risks involved.

6.2 Assumption of Risk

By participating in any LightCell Studios program, you expressly assume all risks associated with:

• International and domestic travel
• Physical activities and excursions
• Film production activities
• Cultural experiences and local cuisine
• Use of equipment and facilities
• Interaction with other participants
• Exposure to different environments and climates

6.3 Release of Liability

To the fullest extent permitted by law, you hereby release, waive, discharge, and hold harmless LightCell Studios, LLC, its officers, directors, employees, agents, contractors, and affiliates from any and all liability, claims, demands, actions, and causes of action whatsoever arising out of or related to any loss, damage, injury, or death that may be sustained by you while participating in any LightCell Studios program.

6.4 Medical and Health Considerations

• LightCell Studios is not responsible for providing health insurance coverage
• Participants must maintain their own health and travel insurance
• You are responsible for disclosing any medical conditions, allergies, or dietary restrictions that may affect your participation
• LightCell Studios is not liable for allergic reactions, food-related illnesses, or any medical emergencies
• Participants engage in all activities at their own risk

6.5 Personal Property

LightCell Studios is not responsible for any loss, theft, or damage to personal property during any program or event.

7.1 Ownership of Content

All content, materials, curriculum, techniques, methodologies, and intellectual property provided through LightCell Studios programs remain the exclusive property of LightCell Studios, LLC. This includes but is not limited to:

• Course materials and curriculum
• Videos, presentations, and educational content
• Proprietary AI and virtual production techniques
• Software, tools, and workflows demonstrated
• Branding, logos, and marketing materials

7.2 Limited License to Use

Upon purchase, you are granted a limited, non-exclusive, non-transferable license to access and use the educational materials for personal, non-commercial educational purposes only. You may not:

• Reproduce, distribute, or share course materials
• Create derivative works based on our content
• Teach or train others using our proprietary methods without written permission
• Reverse engineer or attempt to extract our techniques for commercial purposes

7.3 Recording and Photography Consent

By participating in any LightCell Studios program, you grant us the irrevocable right to:

• Record, photograph, and capture your likeness during events
• Use such recordings and images for marketing, promotional, and educational purposes
• Include your participation in case studies and success stories

If you do not wish to be recorded or photographed, you must submit a written request to LightCell Studios at least 7 days before the event so appropriate accommodations can be made.

7.4 Participant-Created Content

Any content, projects, or materials you create during LightCell Studios programs using our techniques, tools, or instruction becomes the property of LightCell Studios, LLC. We retain the right to showcase participant work for promotional and educational purposes while crediting you as the creator where appropriate.

7.5 Artificial Intelligence Tools and Techniques

The AI tools, workflows, and techniques taught in our programs are proprietary to LightCell Studios. Use of these methods for commercial purposes outside of your personal projects requires separate licensing agreements. Participants agree not to:

• Create competing educational programs using our methods
• Resell or redistribute our AI workflows and techniques
• Claim ownership of methods learned through our programs

8.1 Professional Behavior

All participants must maintain professional and respectful behavior during all LightCell Studios programs. We reserve the right to remove any participant who:

• Engages in harassment, discrimination, or inappropriate behavior
• Disrupts the learning environment
• Violates venue rules or local laws
• Endangers themselves or others
• Damages property or equipment

8.2 Removal Without Refund

Participants removed for code of conduct violations forfeit all payments and are not entitled to any refunds.

9.1 Information Collection

By using our Services, you consent to the collection and use of your information as described in our Privacy Policy.

9.2 Communication

By registering for any program, you agree to receive program-related communications, including but not limited to:

• Booking confirmations and receipts
• Pre-event preparation materials
• Schedule updates and important announcements
• Post-event follow-up and resources

10.1 No Consequential Damages

In no event shall LightCell Studios, LLC, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your participation in any program or use of our Services.

10.2 Maximum Liability

Our total liability to you for any damages arising out of or related to these Terms or your participation in any LightCell Studios program shall not exceed the amount you paid for the specific program or service giving rise to the claim.

10.3 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Vermont, United States, without regard to its conflict of law provisions.

13.2 Arbitration Agreement

Any dispute arising out of or relating to these Terms or your participation in LightCell Studios programs shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Vermont, and judgment on the award may be entered in any court having jurisdiction.

13.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14.1 Entire Agreement

These Terms constitute the entire agreement between you and LightCell Studios regarding the Services and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14.3 Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition.

14.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction.

14.5 Modifications

LightCell Studios reserves the right to modify these Terms at any time. We will notify you of any material changes via email or website announcement. Your continued use of our Services after such modifications constitutes acceptance of the updated Terms.

14.6 Survival

Provisions relating to intellectual property, limitation of liability, indemnification, and dispute resolution shall survive any termination of these Terms.

15.1 Educational Purposes

All programs are for educational purposes only. LightCell Studios makes no guarantees regarding career outcomes, income potential, or professional success resulting from participation in our programs.

15.2 Technical Requirements

Participants are responsible for ensuring they have appropriate devices, software, and internet connectivity for Online Academy courses and any digital components of in-person programs.

15.3 Results Disclaimer

Individual results vary based on effort, prior experience, and application of learned materials. Testimonials and examples are not guarantees of similar outcomes.
